By accessing or using the Citytech Software website, services, or solutions, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, you must discontinue use immediately.

Scope of Services
Citytech Software provides consulting, development, integration, and support services across eCommerce, Web development, Software application Development, and workflow automation. Specific deliverables, timelines, and fees are governed by individual contracts or proposals agreed upon with clients

Intellectual Property Rights

  • All content, software, documentation, and designs created or provided by Citytech Software remain its intellectual property unless expressly transferred by written agreement.
  • Clients are granted a non‑exclusive, non‑transferable license to use deliverables solely for their intended business purpose.

Unauthorized reproduction, distribution, or resale of Citytech’s intellectual property is strictly prohibited.

Client Obligations

  • Provide accurate, complete, and timely information necessary for project execution.
  • Ensure compliance with applicable laws and regulations when using Citytech deliverables.
  • Maintain confidentiality of credentials, proprietary materials, and sensitive data shared during the engagement

Fees and Payment Terms

  • Fees are specified in project proposals or contracts.
  • Payments must be made according to agreed schedules.

Late payments may result in suspension of services and may incur interest charges.

Confidentiality

Citytech Software will treat all client information as confidential and will not disclose such information to third parties except as required by law or for project execution. Clients are likewise obligated to maintain the confidentiality of Citytech’s proprietary information

Limitation of Liability

  • Citytech Software shall not be liable for indirect, incidental, or consequential damages arising from the use of its services.
  • Liability is limited to the total value of the contract under which services were provided.

Third‑Party Systems and Integrations

Citytech Software solutions may integrate with third‑party platforms (ERP, LMS, CRM, etc.). Citytech is not responsible for downtime, errors, or limitations caused by external systems beyond its control

Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal.

Refund Policy
Refunds can only be issued for milestones that are not completed and as agreed for specific projects. Refunds will not be issued for services that are already rendered.

Amendments

Citytech Software reserves the right to amend these Terms & Conditions at any time. Continued use of services after amendments constitutes acceptance of the revised terms.
